These Terms of Service ("Terms") govern your access to and use of the Vestra platform, including its websites, mobile applications, and services (collectively, the "Platform"). The Platform is operated by Vestra Inc. ("Vestra," "we," "us," or "our"), with its registered office at 1209 Orange Street, Wilmington, New Castle County, Delaware 19801. By accessing or using the Platform, you ("User" or "you") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

Vestra is a fractional real estate platform that enables individuals to buy and sell shares in verified properties. Investors can earn profits on a weekly, monthly, or yearly basis, depending on the investment duration and the performance of the underlying property. A property schema on Vestra provides detailed information about a real estate asset, including its location, share price, profit schedule, and investment duration. The platform is designed to be accessible for both beginners and experienced investors, simplifying the investment process. Vestra operates under full compliance with investment and real estate regulations in all jurisdictions where it conducts business, performing due diligence on properties and requiring legal documentation from sellers. While all investments inherently carry risk, Vestra aims to mitigate these risks through vetting, property insurance where applicable, and transparent disclosures. Only verified property owners or licensed agents are permitted to list properties for fractional sale, and they must provide ownership documents and legal property valuations that meet Vestra's listing criteria. The platform utilizes bank-grade encryption, two-factor authentication, and secure payment gateways to protect user funds and personal information. In rare instances of unforeseen issues, Vestra commits to full disclosure and ensures refunds or equivalent value transfers in accordance with its investor protection policy and terms of service. The platform offers customer support via live chat, email, and WhatsApp to assist users. Profits are paid directly to a user's Vestra wallet or a linked external wallet based on the chosen payout schedule. Depending on the specific schema terms, some shares may be sold early on Vestra’s secondary market, and users are advised to review each property’s exit options. The minimum investment varies by schema but is often designed to be very affordable, sometimes as low as $1, to encourage broad participation. To invest, users simply sign up, browse available schemas, select a property, choose the desired number of shares, and complete payment, after which their investment begins earning according to the selected schedule. To list a property, sellers create an account, upload required documents, and submit their property for review, with Vestra's team guiding them through the verification and schema creation process. Sellers can request payouts based on share sales, with payouts scheduled transparently and linked to buyer confirmations and documentation compliance. Vestra's technological foundation is built on advanced PHP Laravel, offering features such as automated and manual deposit management, user management with social logins, multi-level referrals, and dynamic KYC forms, alongside comprehensive property and installment management, multi-tiered referral systems, dynamic KYC & KYB systems, global payment and payout processing, and smart automation & analytics

For platforms dealing with fractional ownership of real estate, especially those that might be considered securities, compliance with federal securities laws, such as the Securities Act of 1933 and the Investment Company Act of 1940, is paramount. Companies like Millrose Properties, Inc., which engage in real estate financing and development, are subject to rigorous SEC oversight, including filing registration statements (e.g., Form S-11) to disclose comprehensive information about their business, financial condition, and risks to potential investors. This includes details about their operational models, such as Millrose's Homesite Option Purchase Platform (HOPP'R), and their intent to qualify as a Real Estate Investment Trust (REIT) for tax purposes. The SEC's regulations aim to ensure transparency and prevent fraud, requiring companies to provide clear and accurate information to the public. 

1. Acceptance of Terms

1.1. By accessing or using the Vestra Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other policies or guidelines referenced herein. These Terms constitute a legally binding agreement between you and Vestra Inc.

1.2. Vestra reserves the right to modify, amend, or update these Terms at any time without prior notice. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to regularly review these Terms to stay informed of any updates.

2. Eligibility and Account Registration

2.1. To access and use the investment features of the Platform, you must be at least 18 years old and have the legal capacity to enter into binding contracts. By using the Platform, you represent and warrant that you meet these eligibility requirements.

2.2. You must register for an account to become an investor or seller on Vestra. During registration, you agree to provide accurate, current, and complete information as prompted by the registration form. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Vestra immediately of any unauthorized use of your account or any other breach of security.

2.3. Vestra reserves the right to refuse registration or suspend/terminate accounts at its sole discretion, particularly in cases of suspected fraudulent activity, misrepresentation, or violation of these Terms.

3. Fractional Real Estate Investment

3.1. Nature of Investment: Vestra facilitates fractional ownership of real estate properties. When you invest, you are purchasing shares in a specific property schema, not the entire property itself. These shares represent a proportional interest in the property's performance and potential profits.

3.2. Property Schemas: Each property listed on the Platform is presented as a "property schema," which includes detailed information such as location, share price, profit schedule (weekly, monthly, or yearly), investment duration, and any specific terms related to the property. You are responsible for thoroughly reviewing each property schema before making an investment decision.

3.3. Investment Risks: You acknowledge and understand that all investments, including fractional real estate investments, carry inherent risks. The value of real estate can fluctuate, and there is no guarantee of profit or return on investment. Vestra minimizes risk through vetting, property insurance (where applicable), and transparent disclosures, but these measures do not eliminate all risks. You should carefully consider your financial situation and risk tolerance before investing.

3.4. Profit Distribution: Profits are distributed to your Vestra wallet or linked external wallet according to the payout schedule specified in the property schema. The profit percentage and frequency (weekly, monthly, or yearly) are determined by the specific investment.

3.5. Cancellation and Exit Options: The ability to cancel an investment or sell shares early depends on the terms of the specific property schema. Some schemas may allow cancellation within a certain timeframe (e.g., "Cancel In 15 Minutes" for Equinix Silicon Valley Data Center (SV10) or "Cancel In 59 Minutes" for Zillow), while others may not permit cancellation. For early exits, Vestra may offer a secondary market, but availability and terms are subject to the specific schema. You are advised to check each property's exit options before investing.

3.6. No Profit Holidays: Certain property schemas may specify "No Profit Holidays," indicating periods during which profits will not be accrued or distributed. Examples include specific dates like 2025-12-10, 2025-08-19, 2025-12-25, and 2026-01-01, depending on the property. 

4. Seller Obligations and Property Listing

4.1. Only verified property owners or licensed agents are permitted to list properties for fractional sale on Vestra.

4.2. Sellers must provide all required documentation, including ownership documents, legal property valuations, and any other information necessary to meet Vestra's listing criteria and regulatory compliance standards.

4.3. Vestra conducts due diligence on every property listed on the Platform to ensure compliance with investment and real estate regulations.

4.4. Sellers are responsible for the accuracy and completeness of all information provided in their property schemas. Any misrepresentation or fraudulent activity will result in immediate account termination and potential legal action.

4.5. Payouts to sellers are scheduled transparently and are tied to buyer confirmations and documentation compliance.

5. Payments, Withdrawals, and Fees

5.1. Deposits: Vestra supports various payment methods for deposits, including cards, wallets, mobile money, crypto, and bank transfers. Both manual and automated processing options are available. 

5.2. Withdrawals: Profits can be withdrawn anytime, subject to the specific terms of the property schema and any applicable processing times or minimum withdrawal amounts. 

5.3. Currency: All transactions on the Platform are conducted in USDor USDT unless otherwise specified.

5.4. Fees: Vestra may charge fees for its services, including transaction fees, withdrawal fees, or management fees. Any applicable fees will be clearly disclosed to you before you complete a transaction. By using the Platform, you agree to pay all such fees.

6. User Conduct and Prohibited Activities

6.1. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

6.2. You are prohibited from engaging in any activities that:

  • Violate any applicable local, national, or international law or regulation.
  • Infringe upon the rights of others, including intellectual property rights.
  • Involve fraud, misrepresentation, or deceptive practices.
  • Transmit or upload any viruses, malware, or other harmful code.
  • Disrupt or interfere with the proper functioning of the Platform or its servers.
  • Attempt to gain unauthorized access to any part of the Platform, other user accounts, or computer systems.
  • Use any automated means, such as bots, crawlers, or data mining tools, to access or interact with the Platform, except as expressly permitted by Vestra.
  • Sell, license, lease, assign, transfer, pledge, or share any of your rights under these Terms with any third party.
  • Copy, modify, translate, reverse engineer, decompile, disassemble, or attempt to discover the source code of the Platform or any software available on it.

6.3. Vestra reserves the right to suspend or terminate your access to the Platform immediately and without notice if you violate any of these prohibitions.

7. Intellectual Property

7.1. All content, trademarks, logos, and other intellectual property on the Vestra Platform are owned by Vestra Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform for informational purposes only, provided you comply with these Terms.

7.2. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as generally permitted by the Platform's functionality.

8. Disclaimers and Limitation of Liability

8.1. No Investment Advice: Vestra is a platform that facilitates fractional real estate investments. We do not provide financial, investment, legal, or tax advice. All information provided on the Platform is for informational purposes only and should not be construed as a recommendation or endorsement to buy or sell any security or investment. You should consult with qualified professionals before making any investment decisions.

8.2. "As Is" Basis: The Vestra Platform and all its content, services, and features are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Vestra does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

8.3. Limitation of Liability: To the fullest extent permitted by law, Vestra Inc., its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from
(i) your access to or use of or inability to access or use the Platform;
(ii) any conduct or content of any third party on the Platform;
(iii) any content obtained from the Platform; and
(iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Indemnification

You agree to defend, indemnify, and hold harmless Vestra Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Contributions, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

10. Governing Law and Dispute Resolution

10.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

10.2. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Wilmington, Delaware. The decision of the arbitrator shall be final and binding upon both parties.

11. Miscellaneous

11.1. Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by Vestra on the Platform, constitute the entire agreement between you and Vestra concerning your use of the Platform.

11.2. Severability: If any provision of these Terms is deemed invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

11.3. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Vestra's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

11.4. Assignment: You may not assign or transfer your rights or obligations under these Terms without Vestra's prior written consent. Vestra may assign its rights and obligations under these Terms without restriction.
